Terms of Use

1. Eligibility

You must be at least 13 years old to use UseDesktop. By using the Service, you represent that you meet this requirement and have the authority to agree to these Terms.

2. Account & Access

Certain features, including cloud AI models, marketplace access, and data synchronization, require a UseDesktop account. You are responsible for:

• -Maintaining the confidentiality of your account credentials
• -All activity that occurs under your account
• -Notifying us immediately of any unauthorized access or security breach

3. Acceptable Use

You agree to use UseDesktop only for lawful purposes. You must not:

• -Use the Service or its automation features for any illegal, harmful, or abusive activity
• -Use agents to interact with systems, applications, or data you do not have authorization to access
• -Attempt to bypass security measures, reverse engineer, or exploit vulnerabilities in the Service
• -Interfere with or disrupt the Service or its infrastructure
• -Use the Service to generate, store, or distribute malware, spam, or malicious content
• -Impersonate another person or entity through the Service
• -Use automated agents in a manner that violates the terms of service of third-party applications

4. AI & Automation

UseDesktop provides AI-powered automation that performs actions on your computer. You acknowledge and agree that:

• -You are solely responsible for supervising and reviewing all automated actions
• -AI-driven actions may produce unintended or inaccurate results
• -The Service is not a substitute for human judgment, especially for critical operations
• -We are not liable for any consequences arising from automated actions performed on your behalf
• -You are responsible for any data loss, system changes, or other effects caused by agent execution

5. Screen Recording & Data Capture

The Service may capture screen content, application data, and user interactions to provide automation features. You agree that:

• -You have appropriate rights and permissions to capture content displayed on your screen
• -You will not use the capture features to record sensitive information belonging to others without their consent
• -You are responsible for compliance with applicable privacy and recording laws in your jurisdiction

6. Marketplace & Shared Content

If you publish skills, agents, templates, or other content to the UseDesktop marketplace, you agree that:

• -You own or have the right to share all content you upload
• -Uploaded content does not contain malicious code, malware, or harmful payloads
• -Associated metadata may be reviewed for security and quality purposes
• -You grant UseDesktop a non-exclusive, worldwide license to host, display, and distribute your published content through the marketplace
• -You are responsible for the accuracy of descriptions and any claims about your published content
• -We reserve the right to remove content that violates these Terms or poses a security risk

7. Cloud Services

Cloud features (cloud AI models, speech-to-text, labeling, replay sync) are provided on an "as available" basis. We may modify, suspend, or discontinue cloud features at any time. By using cloud features, you consent to the transmission of relevant data as described in our Privacy Policy.

8. AI Training & Data Use

We do not use your personal data, conversations, screen recordings, or agent execution data to train AI models by default. Any optional training data contribution program will require your explicit opt-in consent, which you can withdraw at any time.

9. Intellectual Property

All software, branding, and content associated with UseDesktop are our intellectual property or used under license. You may not copy, modify, distribute, or create derivative works from any part of the Service without prior written consent. This license does not grant you any ownership rights.

10. Termination

We may suspend or terminate your access at any time if you violate these Terms or engage in harmful activity. You may also delete your account at any time through account settings. Upon termination:

• -Your access to cloud features and marketplace will be revoked
• -Your cloud data will be deleted within 30 days
• -Local data on your device remains yours and is unaffected

11. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that all automation tasks will succeed.

12. Limitation of Liability

To the maximum extent permitted by law, UseDesktop and its affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless UseDesktop from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the application or via email. Continued use of the Service after changes are published constitutes acceptance of the updated Terms.

15. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Korea, without regard to conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of Korea.
